These Terms of Service ("Terms") govern your access to and use of ProductReady ("Service"), operated by ProductReady ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Service" refers to the ProductReady SaaS boilerplate, documentation, APIs, and related tools.
  • "User," "you," or "your" refers to individuals or entities accessing the Service.
  • "Content" means any code, text, data, or materials uploaded, submitted, or created through the Service.
  • "License" refers to the software license under which ProductReady source code is distributed.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use this Service. By registering, you represent that you meet this requirement.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3. License and Usage Rights

3.1 Source Code License

ProductReady source code is provided under its applicable software license. Your use of the source code is governed by that license, not these Terms.

3.2 Service License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

3.3 Restrictions

You may not:

  • Sublicense, sell, or redistribute access to the Service to third parties as a standalone product
  • Use the Service to build a competing SaaS boilerplate product
  • Attempt to reverse engineer, decompile, or extract proprietary components of the hosted Service
  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of the Service

4. User Content and Data

4.1 Ownership

You retain all rights to Content you create or upload through the Service. We do not claim ownership of your Content.

4.2 License to Us

By using the Service, you grant us a limited license to host, store, and process your Content solely to provide the Service to you.

4.3 Responsibility

You are solely responsible for your Content and ensuring it does not violate any laws or third-party rights.

5. Payment and Billing

5.1 Fees

Certain features of the Service may require payment. All fees are stated in US dollars unless otherwise specified.

5.2 Billing

You authorize us to charge your designated payment method for all applicable fees. Payments are non-refundable except as required by law or as expressly stated in these Terms.

5.3 Taxes

You are responsible for all applicable taxes. We may collect taxes where required by law.

5.4 Price Changes

We may change our fees upon 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new fees.

6. Intellectual Property

6.1 Our Property

The Service, including its original content, features, and functionality (excluding User Content), is owned by us and protected by international copyright, trademark, and other intellectual property laws.

6.2 Trademarks

"ProductReady" and associated logos are our trademarks. You may not use them without our prior written consent.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.

7. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Stripe, authentication providers). Your use of such services is governed by their respective terms and privacy policies. We are not responsible for third-party services.

8. Disclaimers

8.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Guarantee

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee any specific results from using the Service.

8.3 Beta Features

Any beta or experimental features are provided without warranty and may be modified or discontinued at any time.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless ProductReady and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Term and Termination

11.1 Term

These Terms are effective until terminated by either party.

11.2 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature.

11.3 Termination by Us

We may suspend or terminate your access immediately, without notice, for conduct that we believe violates these Terms or is harmful to other users or us.

11.4 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive (including Sections 6, 8, 9, 10, and 12).

12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions.

12.3 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

12.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

12.5 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver.

12.6 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

12.7 Modifications

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
